Terms of Service

1. License Grant

CyberGuardian grants you a non-exclusive, non-transferable license to install and use the CyberGuardian software on the number of Windows endpoints covered by your subscription plan:

• Home: 3 endpoints
• Business: Up to 5 endpoints
• Professional: Up to 10 endpoints
• Enterprise: 10+ endpoints — contact sales

2. Acceptable Use

You may use CyberGuardian only for lawful purposes. You must not:

• Use the software to conduct unauthorized access to computer systems
• Reverse engineer, decompile, or disassemble the software
• Resell, sublicense, or redistribute the software without written permission
• Disable or circumvent security features of the software
• Use the software in violation of any applicable law or regulation

3. Subscription & Payment

• Subscriptions are billed annually in advance
• All prices are in EUR and exclude applicable VAT
• Payment is processed securely via Stripe
• Subscriptions auto-renew annually unless cancelled before the renewal date
• No refunds after subscription activation. Enterprise contracts may include custom refund terms.

4. Service Level Agreement (SLA)

• Agent availability: The local agent operates independently and is unaffected by cloud outages
• Support: Email support for all plans. Enterprise customers receive priority support.
• Threat feed updates: Updated regularly and automatically

5. Data & Security

CyberGuardian processes security telemetry from your endpoints, as described in our Privacy Policy. You retain ownership of all your data.

5.1 Roles under GDPR

We act as data controller in respect of your account, billing and license data. In respect of data processed by the agent on your endpoints, you act as data controller and we act as data processor, processing such data solely to deliver the service.

5.2 Customer Obligations — Employee Monitoring

Where you deploy CyberGuardian on endpoints used by your employees or other individuals, you warrant that you have:

• (a) informed those individuals of the monitoring carried out by the software;
• (b) established a valid lawful basis for such processing under applicable national employment and data protection law; and
• (c) completed any works council consultation, notification or impact assessment required in your jurisdiction.

You shall indemnify CyberGuardian Security EOOD against any claim, fine or liability arising from your failure to meet these obligations.

5.3 Data Processing Agreement

Enterprise customers may enter into a Data Processing Agreement under Article 28 GDPR. Contact: support@cyberguardian.bg

6. NIS2 Compliance Features

CyberGuardian provides compliance tooling to assist with NIS2 obligations. However, ultimate compliance responsibility rests with your organization. CyberGuardian is not a legal advisor and does not guarantee regulatory compliance outcomes.

7. Intellectual Property

CyberGuardian and all associated software, documentation, and branding are the exclusive property of CyberGuardian Security EOOD.

8. Limitation of Liability

To the maximum extent permitted by applicable law, CyberGuardian shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Termination

Either party may terminate the subscription at any time. Upon termination, your license expires and you must uninstall the software. We will delete your data within 90 days of termination, except where retention is required by law or necessary for the establishment, exercise or defence of legal claims.

10. Governing Law

These Terms are governed by the laws of the Republic of Bulgaria. Disputes shall be resolved in the courts of Sofia, Bulgaria, or through binding arbitration if mutually agreed.
